Wholesale terms.

All prices are in U.S. dollars per unit. The SwellFrame Display — the wall mountable e ink surf forecast device — is currently the only SKU.

The Pre Launch Wholesale tier is open until SwellFrame ships its first Kickstarter run. Re orders placed after general retail launch move to the Standard Wholesale tier. We’ll give every active wholesale partner at least 30 days’ written notice before pricing changes.

10 units per purchase order. This matches our manufacturing carton size and keeps freight clean. If a smaller order makes sense for your shop, ask — we’ll handle it case by case but the per unit price may step up to cover the packing and freight overhead.

Default:

Pay on delivery (Net 0). Invoice issued when the carrier collects; payment due when units reach your shop.

Net 30:

Available to accounts in good standing after two successful pay on delivery orders. Request in writing.

Consignment (pay as sold):

Available case by case for strategic accounts with strong year round foot traffic. Governed by a separate one page consignment addendum.

Late payments:

Invoices unpaid 15 days past due accrue a 1.5%/month service fee. We’d much rather call you than enforce that, so call us first.

Methods:

ACH, wire, business check, or Stripe (credit card; 3% surcharge passed through).

Ship from:

Ocean Township, NJ. FOB Origin — title and risk of loss pass to you on tender to the carrier.

Freight:

Free ground shipping within the continental U.S. on orders of 10 or more units. Outside the continental U.S., or for expedited freight, we’ll quote at cost.

Lead time:

Pre launch orders ship alongside our Kickstarter fulfillment wave. We’ll confirm an estimated ship window with every PO. We will not commit to a hard date until units are in inventory.

Damaged in transit:

Inspect cartons on arrival. Report visible damage with photos within 48 hours of delivery and we’ll replace at our cost. After 48 hours, transit damage becomes a freight carrier claim.

Every SwellFrame unit carries a 12 month limited warranty from the date you receive it. The warranty covers defects in materials and workmanship under normal indoor use.

Dead on Arrival (DOA):

Any unit that fails to power on or pair to Wi Fi during your first setup within 30 days of delivery is replaced no questions asked. We pay return shipping and ship the replacement same week.

In warranty defects:

Email a short description plus photo or video to tommy@swellframe.co. If we confirm the defect, we replace the unit or issue a credit on your next PO at our option, and cover return shipping.

Not covered:

Water immersion, drop damage, modified or opened devices, surge damage, cosmetic wear from handling, or any unit that has been altered from its shipped state.

Pass through to end customers:

You may pass our limited warranty through to your customers, but you may not extend it or imply additional warranties on our behalf.

Unsold inventory:

We do not buy back unsold inventory on purchase orders. If you’d like the optionality, ask about consignment (Section 3).

Defective inventory:

Returned and handled under the warranty section above.

Order errors:

If we ship the wrong quantity or SKU, we fix it at our cost. Notify us within 7 days of delivery.

SwellFrame’s suggested retail price is $139. Retailers may discount in store and in advertising up to 10% off MSRP ($125 floor) without prior approval. Pricing below the $125 floor in any public facing channel — in store signage, your website, paid ads, social posts, email — requires our written approval.

Our Kickstarter backers receive special launch pricing during the campaign. Kickstarter is a pre order channel for first run supporters, not a retail channel, and isn’t a MAP violation.

All wholesale relationships are non exclusive. We may sell to additional retailers in any geography and may sell direct to consumers through our own website. That said: we’re not going to undercut you or stack two new shops on the same block. We use real judgment about where the next account goes and we’re happy to talk it through if you’re worried about a specific competitor down the street.

Point of sale:

Every wholesale order includes a small POS card and shelf talker. Replacement POS available on request.

Brand assets:

Logo files, product photography, social ready images, and short video are available for retailer use. Ask and we’ll send a link.

Brand use:

Use our marks in your shop, on social, in newsletters, and on your website to promote SwellFrame. Don’t alter the logo, tagline, or product imagery. Don’t imply partnership or endorsement beyond “authorized retailer.”

Featured retailer:

We’ll list every active wholesale partner on the “Where to Buy” page on swellframe.com once the site is live.

Roadmap details, unit pricing, BOM specifics, and any product changes we share with you ahead of release are confidential until we publish them. You’re free (and encouraged) to talk about SwellFrame as a product line you carry.

Either party may end the wholesale relationship for any reason with 30 days’ written notice (email is fine). Open POs are honored on the schedule already agreed. We may suspend shipments to any account with a past due invoice older than 30 days until the balance is current.

Neither party is liable for delays caused by events outside reasonable control — component shortages, freight disruptions, weather events, public health orders, or similar. We’ll keep you posted in writing if anything material is affecting your ship window.

Governing law:

These terms are governed by the laws of the State of New Jersey. Disputes go to courts in Monmouth County, NJ.

Entire agreement:

These terms plus any written PO acknowledgment from us is the whole deal between us on wholesale. Side deals and verbal commitments don’t bind either party unless we put them in writing (email counts).

Updates:

We may update these terms with 30 days’ written notice. Updates apply to POs placed after the effective date — already accepted POs are governed by the terms in effect when we accepted them.

Independent contractors:

Nothing here creates a partnership, agency, or employment relationship between us.
